Annual Meeting

The Annual Meeting of the Members will be held on Tuesday, May 7, 2024, at 10:00 am and available to view via live webinar. The meeting webinar will provide Members the opportunity to receive updates on Sea Pines CSA operations and plans for 2024 and beyond. A live question and answer session will follow the meeting adjournment. No Member voting will occur at the Annual Meeting.

Date of Record

You must be a member in good standing as of the date of record (March 8, 2024) to be included in the proxy mailing for the Annual Meeting on May 7, 2024. Questions related to membership/ standing should be directed to the Sea Pines CSA Finance Department Attention: Tracey McNeill via email at traceym@csaseapines.com or by phone at 843-671-7812.

Proxy Delivery Information

Proxies to establish a quorum for this meeting will be provided to Sea Pines CSA members in good standing as of the March 8, 2024 date of record.

  • Email: For those properties with a primary email address on file with Sea Pines CSA as of the March 8, 2024, date of record, Emailed electronic proxies will be sent via email on Monday, April 1, 2024, to the primary email on file with Sea Pines CSA from the email address elections@vote-now.com.
  • By USPS Mail: For those properties without a primary email address on file, the proxy package is being sent via mail through the USPS. To update your primary contact email information with Sea Pines CSA for future communications, please visit our website at seapinesliving.com/contact or call our office at 843.671.1343.
    • Mailed proxies were placed in the USPS mail on April 1, 2024, and addressed to the notice of mailing address on file with Sea Pines CSA as of the March 8th date of record. Please allow 3-5 days from the mailing date for USPS mailed delivery.

Establishing a Quorum

Quorum for this meeting will be established by proxy. Sea Pines CSA has selected Vote-now.com LLC, as its 3rd Party Independent Proxy Administrator. If quorum for the first call is not met, the meeting quorum requirement decreases for a second call and decreases again for a third and final call.  In order to ensure the meeting can be held and in accordance with the Sea Pines CSA Bylaws, this notice of the Annual Meeting provides for three (3) calls as follows:

  1. First Meeting Call: Tuesday, May 7, 2024, at 10:00 a.m. [Quorum required:  20% of total number of Members.]
  2. Second Meeting Call: Tuesday, May 7, 2024, at 10:05 a.m. [Quorum required: 15% of total number of Members.]
  3. Third Meeting Call: Tuesday, May 7, 2024, at 10:10 a.m. [Quorum required: 10% of total number of Members.]

  • After registering, you will receive a confirmation email with information about joining the webinar.
  • The Zoom webinar platform provides the opportunity for attending property owners to speak directly to the meeting presenters via the “raise your hand” function.

How do I raise my hand to comment or ask a question through the online webinar?

  • Immediately following the meeting adjournment, there will be a live question and answer session.
  • IF JOINING BY A PC, MAC, iPad, iPhone, or Android Device: If joining by any of these devices listed, please raise your hand with the “raise your hand” function in the Zoom webinar platform, if you have a relevant comment or question.
  • IF JOINING BY PHONE ONLY: If you join the webinar by phone, dial *9 to raise your hand. Note: You can’t use a phone to lower your hand. The webinar administrator will lower your hand after your comment or question has been addressed.
  • Member questions will be addressed in the order they are received based on when the member “raises their hand”.
  • When called upon, you will be acknowledged by name or by the last few digits of your phone number, please state your name and address and you will be given time to speak.
